Non-Disclosure Agreement (NDA)

Version 1.0 · effective 27 September 2026

You accept this agreement when you create an account for the protected Pensionplanner, or sign in to it with Microsoft. It protects what we show you before it is public, and supplements the terms of service.

This text is available in Dutch and English. In case of any discrepancy, the Dutch version prevails.

Parties

This agreement is between Finstri · Chamber of Commerce no. 82491224 · address: Willem de Zwijgerlaan 110-2, 1056 JV Amsterdam · info@finstri.nl ("we") and you as a user of the protected Pensionplanner ("you").

Purpose

We give you access to view, use and evaluate the Pensionplanner, and to give us feedback on it. That is the only purpose for which you may use confidential information.

What is confidential

Confidential information is all non-public information about the Pensionplanner that we share with you: in the protected environment, in a demo or presentation, by email or in conversation. It includes in any case:

  • functionality that is not yet public, including beta features;
  • the calculation methodology and how it is built;
  • product design, screen designs and workflows;
  • roadmap, pricing, business model, partners and customers;
  • technical information, such as source code, AI instructions and architecture;
  • other information we mark as confidential, or that you can reasonably understand to be confidential.

What is not confidential

This agreement does not cover information that is already public, or becomes public without you breaching this agreement, including everything on the public pages of pensionplanner.nl. Nor does it cover information you lawfully had before we shared it, receive lawfully from someone else without a duty of confidentiality, or develop yourself without using our information.

Your own data

Your own financial data, your documents and the report about your own situation are yours. This agreement does not restrict you there: you may use them and share them with whomever you like, for example your own advisor.

What you agree to

You handle confidential information as follows:

  • you use it only for the purpose;
  • you do not share it with others without our prior written permission — an email is enough;
  • within your own organisation you share it only with colleagues who need it for the purpose and are bound by comparable confidentiality;
  • you do not distribute screenshots, recordings or copies outside that circle;
  • you do not use it to develop a competing product or service, and you do not rebuild the tool;
  • you protect it at least as carefully as your own confidential information, and in any case with reasonable care.

Legal obligation

If the law, a court order or a request from a regulator requires you to disclose confidential information, you may do so. Tell us in advance where that is permitted, and disclose no more than necessary.

What you share with us

We may use feedback and ideas about the Pensionplanner freely to improve the product, without obligation or payment. Information about your own organisation that you give us in confidence along the way, we treat the same way you treat ours. Do not share data about clients or your employer that you are not allowed to share. Personal data is covered by the privacy statement.

Duration

This agreement applies from the moment you accept it. Confidentiality continues until two years after your access has ended. For a trade secret within the meaning of the Dutch Trade Secrets Protection Act, it continues for as long as the information remains a trade secret.

End of your access

When your access ends, or when we ask, you delete the confidential information you have kept outside the tool, such as presentations or documentation. You may keep copies you are legally required to retain or that sit in automatic backups; this agreement continues to apply to them.

No licence or further obligation

Sharing confidential information does not transfer ownership or intellectual property rights, and grants no licence other than to use the tool for the purpose. Neither party is obliged to enter into any further agreement. We share the information as is, without warranty that it is accurate or complete.

If something goes wrong

If you breach this agreement, we may suspend or end your access, demand performance — in summary proceedings if necessary — and claim compensation for the damage we suffer as a result, in accordance with the law.

Relation to the terms of service

This agreement supplements the terms of service, in particular the confidentiality clause. If the two conflict on confidential information, this agreement prevails. We publish an amended version on this page under a new version number. It applies to you only once you have accepted it; until then the version you accepted earlier remains in force.

Governing law and disputes

Dutch law applies to this agreement. Disputes are submitted to the competent court in the Netherlands. If you are a consumer, you retain the right to bring proceedings before the court of your place of residence.
